ACCEPTANCE OF TERMS</h2>1.1. By placing an order with IBG MART WHOLESALE PRIVATE LIMITED (hereinafter referred to as “IBG Mart”), the purchaser (hereinafter referred to as “Customer”) expressly acknowledges and agrees to be legally bound by the terms and conditions set forth herein.1.2. These Terms and Conditions shall govern all current and future transactions between IBG Mart and the Customer unless otherwise agreed in writing by an authorized representative of IBG Mart.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">2. ORDERS AND PRICING</h2>2.1. All orders placed by the Customer are subject to formal acceptance by IBG Mart.2.2. Prices are quoted exclusive of applicable taxes and may be revised without prior notification. The Customer shall pay the prevailing rate at the time of confirmation.2.3. Quoted prices do not include shipping, installation, or service charges unless explicitly stated.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">3. PAYMENT TERMS</h2>3.1. Payments shall be made in the currency specified in the official invoice issued by IBG Mart.3.2. Credit facilities, if extended, are contingent upon a satisfactory credit evaluation.3.3. Interest on overdue invoices may be charged at the rate of 24% per annum or as specified on the invoice.3.4. IBG Mart reserves the right to suspend or cancel delivery if payments are not received as agreed.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">4. DELIVERY</h2>4.1. Delivery timelines provided are estimates only and do not constitute a binding obligation.4.2. The risk of loss or damage passes to the Customer upon dispatch or handover to the carrier.4.3. Claims related to shortages, damages, or non-conformities must be raised within seven (7) days of delivery in writing with supporting evidence.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">5. WARRANTY</h2>5.1. IBG Mart warrants that its products shall be free from material and manufacturing defects for the duration specified in the product documentation.5.2. This warranty is void if the product is mishandled, modified, or serviced by unauthorized personnel.5.3. The warranty covers only the motor for six (6) months and excludes all other components unless stated otherwise.5.4. The warranty is subject to proper installation and usage as per instructions provided.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">6. LIMITATION OF LIABILITY</h2>6.1. Under no circumstances shall IBG Mart be liable for indirect, incidental, punitive, or consequential losses or damages.6.2. IBG Mart’s liability for any claim, whether in contract, tort, or otherwise, shall not exceed the purchase price paid by the Customer.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">7. INTELLECTUAL PROPERTY</h2>7.1. All intellectual property rights in IBG Mart’s products, materials, documentation, and branding remain the exclusive property of IBG Mart.7.2. The Customer shall not reverse engineer, reproduce, or distribute any IBG Mart product without express prior written consent.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">8. CONFIDENTIALITY</h2>8.1. Each party agrees to maintain the confidentiality of all proprietary or sensitive information disclosed during the course of their business relationship.8.2. This clause shall survive termination of any agreement.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">9. TERMINATION</h2>9.1. IBG MART WHOLESALE PRIVATE LIMITED reserves the exclusive right to terminate any agreement at its sole discretion and without liability, in the event of:(a) Any non-compliance or breach by the Customer of the terms, policies, or payment obligations; or(b) Any conduct deemed uncooperative, fraudulent, defamatory, or damaging to the Company’s reputation, brand, or business operations.9.2. The Customer shall have no right to terminate or cancel any order or agreement once the order has been placed and accepted by the Company, except with prior written consent from an authorized representative of IBG MART WHOLESALE PRIVATE LIMITED.9.3. In the event of termination, the Customer shall remain fully liable for:(a) All payments due for products already delivered or dispatched; and(b) Any additional damages, losses, or legal expenses incurred by the Company as a result of the Customer’s breach or misconduct.9.4. Termination by the Company shall not absolve the Customer from their financial or contractual obligations. The Company reserves the right to pursue recovery through legal action, including interest, penalties, and legal costs.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">10. GOVERNING LAW AND JURISDICTION</h2>10.1. This Agreement shall be governed by the laws of the Republic of India.10.2. All disputes shall be subject to the exclusive jurisdiction of the competent courts at Pratapgarh, Uttar Pradesh.10.3. Disputes shall first be referred to arbitration under Indian Arbitration and Conciliation Act before proceeding with court litigation.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">11. MISCELLANEOUS</h2>11.1. These Terms constitute the entire agreement between IBG Mart and the Customer.11.2. No amendment, modification, or waiver of any provision of these Terms and Conditions shall be valid or enforceable unless it is made in writing and expressly approved and signed by an authorized representative of IBG MART WHOLESALE PRIVATE LIMITED. Any verbal, implied, or unilateral changes proposed or claimed by the Customer shall be considered null and void.11.3. The failure to enforce any provision shall not constitute a waiver of future enforcement.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); font-style: normal; font-variant-caps: normal; letter-spacing: normal; orphans: auto; text-align: start; text-indent: 0px; text-transform: none; white-space: normal; widows: auto; word-spacing: 0px; -webkit-text-stroke-width: 0px; text-decoration: none;">12. MACHINE INSTALLATION, WARRANTY & SAFETY INSTRUCTIONS</h2><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">12.1. Unboxing must be recorded on video to claim missing parts.12.2. Damages due to transportation are the carrier’s liability. IBG Mart may provide a packing video as proof.12.3. Prior to first use, consult an authorized technician.12.4. Domestic wiring must not be used for operating machines.12.5. Use a direct connection (2.5mm–5mm copper wire) from the main pillar or meter.12.6. Install two fuses of 100 amps.12.7. Adjust 20/35 amperes as needed.12.8. Set 0–30 amperes to 1 ampere.12.9. Use MCB of 9–20 amperes for the power plug.12.10. Operate with minimal load during the first week.12.11. Complaints must be reported within 48 hours of delivery.12.12. Motor warranty is 6 months, subject to inspection.12.13. Improper connections void warranty.12.14. For warranty claims, submit all required video proofs.12.15. Spare parts are not covered; available separately.12.16. Machines are non-returnable and non-replaceable.12.17. Warranty on motor is limited to one replacement only.12.18. Customer bears freight charges for warranty claims.12.19. Dimensions, color, and weight may vary due to upgrades.12.20. Customer is solely responsible for machine installation.12.21. Installation of the machine is the sole responsibility of the customer. Under no circumstances shall any employee, representative, or technician of IBG MART WHOLESALE PRIVATE LIMITED visit the customer’s premises for the purpose of installation. The company does not provide home installation services.</h2><hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">13. PRODUCT DESIGN NOTICE</h2>The Company may alter the design, color, weight, or appearance of its products without prior notice in accordance with technological updates.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">14. CUSTOMER LIABILITY & CONDUCT</h2>14.1. By placing an order (online or offline), the Customer affirms acceptance of all company policies.14.2. The Customer cannot deny awareness of terms after placing an order.14.3. Any attempt to defame the Company, its employees, or brand—whether through legal, social, or public platforms—will result in strict legal action, including monetary penalties for reputational damage.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">15. DISCLAIMER OF ACCIDENTAL LIABILITY</h2>The Company is not liable for death, injury, or loss caused by the misuse or accident involving any machinery/product supplied by IBG Mart.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">16. NON-RESPONSIBILITY FOR CUSTOMER’S COMMERCIAL OUTCOME</h2>The Company shall not be held accountable for any profit or loss experienced by the Customer from the use or resale of its products.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">17. WHOLESALER TERMS</h2>17.1. Dispatch within 7 business days post booking.17.2. Goods once sold will not be taken back.17.3. Transportation charges are additional.17.4. Payment: 50% at booking, 50% prior to dispatch.17.5. Minimum order: 2 units of the same model.17.6. Valid GST registration and firm details are mandatory.17.7. All listed prices are inclusive of GST.<hr style="text-align: start;"><h2 style="caret-color: rgb(0, 0, 0); color: rgb(0, 0, 0); text-align: start;">18.
